GUESS ÉLITE LOYALTY PROGRAM TERMS AND CONDITIONS — CANADA

Effective date: October 20th, 2026

These Terms and Conditions govern the GUESS Élite loyalty program in Canada (the Program). Please read them carefully before enrolling.

1. DEFINITIONS AND SCOPE

1.1 Definitions

In these Terms and Conditions (the Terms):

  • GUESS / we / us / our means Guess?, LLC, 1444 S. Alameda Street, Los Angeles, CA 90021, U.S.A., and Guess? Canada Corporation.
  • Customer / Participant / you / your means an individual who acts for personal, family or household purposes, is at least 16 years of age, resides in Canada, and enrols in the Program. The Program is not available to persons acting for business or professional purposes.
  • Personal Account means the account created during enrolment and associated with your personal information.
  • Points means the virtual programme units accumulated for Eligible Purchases and eligible engagement activities. One Point is earned for each $1 CAD spent on an Eligible Purchase (or $1 USD for Eligible Purchases made in the United States), rounded up to the next whole dollar, before applicable taxes. Points may be redeemed for Rewards and may count toward Status.
  • Eligible Purchase means a purchase made at a participating GUESS-owned or operated store in Canada or in the United States, or on Guess.com, excluding purchases through third-party or wholesale retailers and non-participating stores. Purchases of Guess gift cards are eligible for Points; however, no Points are earned on any portion of a transaction paid using a loyalty voucher, gift card or other Guess voucher.
  • Reward means a loyalty voucher or other benefit available in exchange for Points, as described in the Earn & Burn catalogue and these Terms.
  • Loyalty Voucher means a discount voucher obtained by redeeming Points, subject to the voucher-specific terms below.
  • Earn & Burn Balance means the Points balance used to redeem Rewards.
  • Status means the level achieved by accumulating Points for Status purposes, which unlocks the benefits identified in these Terms.
  • Status Points means the Points recorded solely to determine a Participant’s Status. Status Points are not spent when a Participant redeems Points from the Earn & Burn Balance.
  • Program Period means the calendar year from January 1 to December 31. A Participant joining during a calendar year participates for the remainder of that calendar year.
  • Applicable Law means the laws that apply in the province or territory where you reside and applicable federal laws.

Definitions form part of these Terms.

1.2 Scope

The Program rewards eligible Canadian Participants for Eligible Purchases and specified engagement activities. By enrolling or participating, you accept these Terms. The Program is available only to Canadian residents and for Eligible Purchases in Canada or in the United States, or through Guess.com.

1.3 Acceptance of Terms

New Participants must accept these Terms through the applicable online or in-store enrolment process. Acceptance of these Terms includes consent to receive programme-administration email communications, including account confirmations, Points-balance information, Reward confirmations, Programme-change notices and other communications necessary to administer the Programme. Marketing and promotional email communications are subject to the separate consent described in section 7.3. SMS communications are not included in this acceptance mechanism and require separate consent. Existing Participants will receive advance notice of material changes as required by Applicable Law. Continued participation after an effective change will constitute acceptance only where permitted by Applicable Law.

1.4 Program Duration

The Program begins on your enrolment and continues unless you or GUESS ends it under these Terms. Earn & Burn Points and Status Points are earned and calculated by calendar year. Earn & Burn Points earned between January 1 and December 31 remain available for redemption until March 31 of the following calendar year, after which they expire. Status Points are reset on December 31 of each calendar year, but the Status achieved in that calendar year is maintained during the following calendar year as described in section 4.2.

2. PARTICIPATION AND REGISTRATION

2.1 Eligibility

To participate, you must:

  • be at least 16 years of age;
  • reside in Canada;
  • maintain one active Personal Account using accurate and complete information; and
  • accept these Terms.

Participation is voluntary and free of charge. Employees, contractors and agents of GUESS and its affiliates may be excluded from particular aspects of the Program under applicable internal policies.

2.2 Registration

You may register through the applicable GUESS website, Personal Account, customer registration application, Wi-Fi portal or participating GUESS store. Where registration occurs in-store, a sales associate may collect the information needed to enroll you. We will send confirmation of your Personal Account creation to the email address provided where applicable.

2.3 Accuracy and Security

You are responsible for ensuring that your account information remains accurate and current. We may suspend or terminate an account if we reasonably determine that information is false, inaccurate or used fraudulently. You must protect your account credentials and notify us promptly of suspected unauthorized access or misuse.

2.4 Account Management and Withdrawal

Your membership account is personal and non-transferable. You may have only one account.

You may withdraw from the Program at any time through your Personal Account, an in-store registration application or by contacting Customer Service. Before your withdrawal is completed, GUESS will display or otherwise provide a warning explaining the consequences of leaving the Program, including the end of future Point earning and the applicable grace period. You must confirm your withdrawal through further affirmative action or call to action. Withdrawal from the Program is separate from withdrawal of marketing consent. You may unsubscribe from marketing communications without withdrawing from the Program or losing Points, Status or other Program benefits.

After you confirm withdrawal, you will no longer earn new Points. You will have a grace period of 30 days after confirmation to redeem available accrued Points and benefits. Any Loyalty Voucher redeemed during the grace period must be used within its stated validity period.

We may suspend or terminate your account, and reverse Points or Rewards obtained through it, where we reasonably believe that you have engaged in fraud, materially breached these Terms, provided false information or abused the Program. This does not limit any rights that cannot be excluded under Applicable Law.

2.5 Welcome Bonus

A new Participant who enrols in the Program for the first time will receive 50 Points as a one-time Welcome Bonus, subject to these Terms. Participants who have previously received the Welcome Bonus, or who withdrew and later re-enrol, are not eligible to receive it again.

2.6 Transition from GUESS List

Existing GUESS List members will be migrated automatically to the Program and will not be required to complete a new enrolment solely because of that migration. Existing Earn & Burn Points and Status Points will be converted to the corresponding balances in the Program on a 1:1 basis. Existing reward-wallet value will be converted to the closest higher-value Loyalty Voucher tier, rounded up in the member’s favour. Loyalty Vouchers issued through the migration will expire three months after the Program launch date.

GUESS will communicate the transition in advance and make these updated Terms available to existing GUESS List members at least 30 days before the Program launch date.

3. POINT ACCUMULATION AND REDEMPTION

3.1 Accumulating Points

You earn Points at the rate described in section 1.1 for Eligible Purchases. The amount of an Eligible Purchase is calculated before taxes and rounded up to the next whole Canadian dollar. Points may also be offered through eligible promotions, activities or events, whose terms will be communicated at the time of the offer.

Points earned through the Program contribute to both your Earn & Burn Balance and Status calculation, unless we state otherwise in the applicable offer terms.

3.2 Redeeming Points

Available Points may be redeemed for Rewards displayed in the Earn & Burn catalogue in your Personal Account. Redemption is subject to reward availability, the applicable reward terms and these Terms.

4. POINTS

4.1 Earn & Burn Balance

The Earn & Burn Balance records Points available to redeem for Rewards. Points redeemed for a Reward are deducted from the Earn & Burn Balance.

4.2 Status

The Program has the following Status levels:

  • Classic: 0–249 Points;
  • Premium: 250–499 Points;
  • Prestige: 500–999 Points; and
  • Ambassador: 1,000 or more Points.

You may move between Status levels as you accumulate Points. The Status Points counter is reset on December 31 of each calendar year. Status achieved in one calendar year is maintained during the following calendar year, even if no additional Points are earned during that following year. If you do not earn enough Points in that following year to retain your Status, you will move in the next year to the Status corresponding to the Points earned in the previous year.

4.3 Other Ways to Earn Points

Subject to any offer terms:

  • you may receive 20 Points as a one-time profile-enrichment bonus for completing an accurate profile;
  • you may receive 50 Points for referring a new Participant who completes their first Eligible Purchase, subject to the referral instructions and any additional terms notified at the time of the referral. GUESS may refuse, reverse or withhold referral Points where it reasonably suspects fraud, self-referral, duplicate accounts, a returned or cancelled qualifying purchase, or other misuse; and
  • you may receive a 50-Point Welcome Bonus under section 2.5.

You are not required to consent to marketing communications or profiling in order to participate in the Program or earn these Points.

4.4 Pending Points, Returns and Adjustments

Points from online purchases are pending during the applicable return period and do not count toward Status until they become available. Points from in-store purchases are available immediately. If an Eligible Purchase is returned, cancelled, refunded or exchanged, we may deduct or adjust associated Points and Status, including by disabling an unused Loyalty Voucher activated using those Points. If a return or cancellation reduces the Status Points below the applicable threshold, the Participant’s Status may be adjusted downward.

If a product is returned because of a manufacturing defect, Points otherwise earned on that purchase will not be removed. If a Loyalty Voucher was used for a returned purchase, Points will be re-credited proportionately to reflect the returned portion, or fully re-credited where the entire qualifying order is returned. For a partial return involving a Loyalty Voucher, Points will be recredited using the applicable voucher conversion formula and rounded up to the next whole Point.

4.5 Loyalty Vouchers and Other Rewards

Available Points may be redeemed for the Rewards shown in the Earn & Burn catalogue.

The current Loyalty Voucher tiers are:

250 Points for a $15 CAD Loyalty Voucher;

500 Points for a $35 CAD Loyalty Voucher; and

750 Points for a $75 CAD Loyalty Voucher.

A Loyalty Voucher may be used at participating GUESS stores in Canada or in the United States, and through Guess.com. Only one Loyalty Voucher may be used per transaction. Loyalty Vouchers may be used with markdowns and other promotions unless the applicable promotion states otherwise. A Loyalty Voucher cannot be partially used, cannot be redeemed for cash and may be used only on a transaction whose pre-tax value equals or exceeds its face value.

A Loyalty Voucher expires three months after activation.

4.6 Redemption Process

To redeem Points, log into your Personal Account, select an available Reward from the Earn & Burn catalogue and complete the redemption process. The applicable Points will be deducted from the Earn & Burn Balance. Once activated, a Loyalty Voucher will appear in your Personal Account and may be used in accordance with its terms. Alternatively, you may ask a store associate to activate a Loyalty Voucher on your behalf through the in-store POS flow, which will trigger a communication containing an activation link.

4.7 Point Expiry, Non-Transferability and Reward Availability

Point expiry: Earn & Burn Points earned between January 1 and December 31 of a calendar year and not redeemed will expire on March 31 of the following calendar year. For clarity, this expiry applies to the Earn & Burn Balance. Status Points are reset on December 31 of each calendar year in accordance with section 4.2.

Points are personal and may not be sold, transferred, assigned or exchanged for cash. We may change the Rewards in the Earn & Burn catalogue, subject to section 6 and Applicable Law. Certain Rewards are available only while supplies last.

4.8 Expiry Notices

GUESS will use reasonable efforts to send a courtesy reminder by email or through the Personal Account before Earn & Burn Points or a Loyalty Voucher expires. A reminder does not extend the applicable expiry date.

5. BENEFITS

5.1 Earn & Burn Catalogue

The Earn & Burn catalogue identifies available Rewards, their Point cost and any reward-specific terms. Reward availability may vary by channel, location and inventory.

5.2 Status Benefits

Status benefits are as follows, subject to availability and the benefit-specific terms notified by GUESS:

  • Birthday Promotion: during the Participant’s birthday month, a one-time discount of 15% for Classic, 20% for Premium, 20% for Prestige and 25% for Ambassador. The applicable discount is based on the Participant’s Status when the Birthday Promotion is issued.
  • Free Shipping: available to all Status levels, subject to the applicable shipping terms.
  • Returns: in-store returns are free for all Status levels, and online returns are free for individuals with Ambassador Status.
  • Early Access: Premium and Prestige Participants receive three days’ early access to specified new collections, and Ambassador Participants receive five days’ early access.
  • Anniversary Promotion: on the first Eligible Purchase made within two weeks after the Participant’s membership anniversary, Premium Participants receive a 1.5x Point multiplier, Prestige Participants receive a 2x multiplier and Ambassador Participants receive a 2.5x multiplier. The multiplier applies to both Earn & Burn Points and Status Points.
  • Status Achievement Gift: from 2026, a Participant who reaches Premium, Prestige or Ambassador receives 25, 50 or 100 bonus Points respectively. If a Participant reaches more than one Status with a single purchase, only the bonus for the highest Status reached is awarded. A Participant who merely retains the Status reached in the prior year does not receive an additional Status Achievement Gift, except for Ambassador Participants who confirm their Ambassador Status year over year.
  • Other benefits: benefits such as event invitations, personal-stylist services, exclusive gifts and priority Customer Service may be offered to eligible Status levels, subject to specific eligibility, geographic, stock, appointment and timing conditions notified by GUESS.

Any Prize Contest, sweepstake, or other chance-based promotion is subject to separate official rules that will state the applicable eligibility, entry, prize and other required terms. The official rules will also state the prize and approximate retail value, entry period, winner-selection method, odds or the factors affecting odds, any no-purchase method of entry, and any skill-testing requirement or other legally required condition. Participation is not required to remain a Program member.

6. MODIFICATION OR TERMINATION OF THE PROGRAM

6.1 Program Changes and Termination

We may modify, suspend or terminate the Program, Points accumulation, Rewards or Status benefits where reasonably necessary for operational, legal, security, fraud-prevention or business reasons, subject to Applicable Law and the notice provisions of these Terms.

Where we terminate the Program or make a material adverse change, we will provide at least 60 days’ advance written notice by email, through your Personal Account or on the applicable Canadian GUESS website, unless a shorter period is reasonably necessary to address fraud, security, legal compliance or circumstances beyond our reasonable control. The change will take effect only after that notice period. The notice will identify the change, its effective date and, where applicable, any redemption or cancellation rights and the period and method for redeeming available Points.

6.2 No Retroactive Reduction

We will not retroactively reduce Points already validly earned or materially diminish available Rewards except where required to correct error, fraud, abuse, a return or refund, or as otherwise permitted by Applicable Law.

6.3 Consequences of Termination

If the Program ends, we will provide a reasonable redemption opportunity for available Points as required by Applicable Law. No provision of these Terms permits cancellation or forfeiture where Applicable Law prohibits it.

7. PRIVACY, MARKETING AND COMMUNICATIONS

7.1 Privacy

Participation requires us to collect and use personal information, including your name, contact details, purchase history, Points balance and Reward activity, to administer the Program. GUESS will handle personal information in accordance with its Privacy Policy and applicable Canadian privacy laws.

7.2 Programme Communications

We may send transactional or service communications needed to administer your membership, including account confirmations, Points-balance information, Reward confirmations, notices about Program changes and expiry reminders. Such communications are not marketing consent.

7.3 Marketing Communications and Profiling

Marketing and promotional electronic messages are subject to a separate consent request and are not a condition of enrolment or continued membership. You may unsubscribe from marketing communications at any time without leaving the Program. Each commercial electronic message will include an unsubscribe mechanism, and we will process an unsubscribe request without delay and no later than 10 business days after receiving it.

If GUESS wishes to use personal information for profiling or personalized offers, it will obtain any separate consent required by Applicable Law and provide the required notices. In Quebec, this includes the information and consent requirements that apply where technology is used to identify, locate or profile an individual.

8. DISCLAIMER AND LIMITATION OF LIABILITY

The Program is provided on an "as available" basis. To the maximum extent permitted by Applicable Law, we do not guarantee that the Program will always be uninterrupted, secure or error-free.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Applicable Law, including liability for fraud, wilful misconduct, gross negligence where applicable, death or personal injury caused by negligence, or mandatory consumer rights.

9. GOVERNING LAW AND COMPLAINTS

These Terms and Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without reference to conflict of laws principles. However, in respect of residents of Quebec, these Terms and Conditions are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec. Nothing in these Terms limits any mandatory right or remedy available to a Participant under Applicable Law, or their ability to bring a complaint before a court, tribunal or consumer-protection authority with jurisdiction.

10. MISCELLANEOUS

If any provision of these Terms is unenforceable, that provision will be severed or interpreted to the minimum extent necessary, and the rest of the Terms will continue in effect.

No waiver is effective unless made in writing by GUESS. These Terms, together with the Privacy Policy and any reward-specific terms, form the agreement relating to the Program, subject always to mandatory rights and remedies under Applicable Law.

Quebec language notice: A French version of these Terms is available. In the event of a discrepancy between the French and English versions, the version most favourable to the consumer will prevail to the extent required by Applicable Law.
